"Old timer" needs an upgrade....

A friend of mine who actually got me turned on to Hoster is looking to upgrade his Hoster. I am up to 4.09 and he is still at 3.1. He originally bought his Hoster before it was required to be connected to the internet- he received the discs from MTU in the mail. Now he is wanting to upgrade and get a new laptop and remove the old Hoster from his shuttle desktop.
So how can he upgrade to 4.09? Will one of his licenses be taken by the old pc that's never been hooked up to the internet? Does he just basically start anew with 4.09? He's not very computer literate...........
