Won't install

I have downloaded the keyrite 2 demo a number of times just to make sure I did not get a corrupted version and I get the same error everytime. installation goes almost to completion but stops with the following error message:
Incompatible version of the RPC Stub
Setup will terminate.
I have all the recent downloads of Windows 98SE and Direct X 9 so that's not it. I am stumped, only have this problem with Keyrite 2.
