If the file is labeled 3300setup.exe then it's the one you already have installed. The upgrade install file should read 3301setup.exe. and it should require you to uninstall (let it do it, don't use "add/remove programs" or you will have to re-enter all you registration information again.) and then either connect to the internet or use the floppy disk/usb memory stick to reinstall.
The reason I suggest setting a restore point is that when you are messing with your bread and butter you want as big of a safety margin you can get in case the registration process comes back "already installed on 2 computers". The restore point has saved my backside a couple of times. They loosened things up a little starting with 3.3 so it should be much less likely to occur but hey why take unnecessary chances?
